Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Prokken platform ("Service"), operated by Prokken ("we", "our", or "us"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use Prokken. By registering, you represent that all information you provide is accurate and that you are authorized to use the WhatsApp number(s) you connect to the platform.

2. Account Registration

To access the Service, you must register with a valid phone number, name, and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

3. Description of Service

Prokken is a WhatsApp CRM and Auto-Responder platform that allows small businesses to:

  • Connect WhatsApp numbers via QR scan
  • Manage conversations in an organized inbox
  • Set up automated replies based on keywords and rules
  • Send broadcasts to contact lists
  • Create and use quick-reply templates
  • Invite team members for collaborative customer support
  • View analytics and activity logs
  • Manage a blog for content marketing

The Service uses WAHA (self-hosted WhatsApp Web API) to interface with WhatsApp. Prokken is an independent platform and is not affiliated with, endorsed by, or sponsored by WhatsApp or Meta.

4. Subscription Plans & Billing

4.1 Plans

Prokken offers the following subscription tiers:

  • Free Trial — 7-day trial with limited features (3 WhatsApp numbers, 3 users, 500 broadcasts/month, 20 contact lists)
  • Starter — $19/month or $190/year (3 WhatsApp numbers, 3 users, 500 broadcasts/month, 20 contact lists)
  • Growth — $49/month or $490/year (5 WhatsApp numbers, 11 users, 2,000 broadcasts/month, 50 contact lists)
  • Business — $99/month or $990/year (10 WhatsApp numbers, 51 users, unlimited broadcasts, unlimited contact lists)

4.2 Payments

All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Subscriptions renew automatically unless cancelled before the renewal date.

4.3 Refunds

Payments are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to the paid features until the end of the current billing period.

5. Acceptable Use

You agree not to use Prokken to:

  • Send spam, unsolicited messages, or bulk marketing to contacts who have not opted in
  • Violate WhatsApp's Terms of Service or acceptable use policies
  • Transmit illegal, harmful, threatening, abusive, or harassing content
  • Impersonate any person or entity
  • Distribute malware, viruses, or any harmful code
  • Attempt to gain unauthorized access to other users' accounts or our systems
  • Use the platform for any activity that violates applicable laws or regulations
  • Scrape, mine, or harvest data from the platform for unauthorized purposes

We reserve the right to suspend or terminate your account without notice if we determine you have violated these terms.

6. WhatsApp Compliance

You are solely responsible for ensuring your use of WhatsApp through Prokken complies with WhatsApp's Terms of Service and applicable privacy regulations. Prokken provides the technical infrastructure but does not guarantee uninterrupted WhatsApp connectivity, as WhatsApp may restrict or block sessions at their discretion.

7. User Roles & Permissions

Account owners (Admins) have full access to all features including settings, billing, team management, and data. Agents invited by Admins have limited access — they can manage assigned conversations and use templates but cannot access settings, billing, or other agents' conversations. Admins are responsible for the actions of their team members.

8. Intellectual Property

The Prokken platform, including its design, code, logos, and documentation, is owned by Prokken and protected by intellectual property laws. You retain ownership of the content you create and send through the platform (messages, templates, blog posts). By using the Service, you grant us a limited license to process your content solely for the purpose of operating the Service.

9. Data & Privacy

Your use of Prokken is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in the Privacy Policy.

10. Service Availability

We strive to keep Prokken available 24/7 but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service downtime.

11. Limitation of Liability

To the maximum extent permitted by law, Prokken and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes but is not limited to loss of profits, data, business opportunities, or goodwill. Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, secure, or uninterrupted, or that WhatsApp sessions will remain continuously connected.

13. Account Termination

You may cancel your account at any time through the platform settings or by contacting support. We may suspend or terminate your account if you violate these Terms. Upon termination, your data will be retained for 30 days to allow recovery, after which it will be permanently deleted.

14. Modifications to Terms

We may update these Terms from time to time. When we make significant changes, we will notify you through the platform or via the contact information associated with your account. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to the jurisdiction where Prokken operates. Any disputes arising from these Terms shall be resolved through good-faith negotiation first, and if unsuccessful, through binding arbitration.
